Spin-off of Halliburton Company (HAL). Completed separation from HAL with exchange offer April 2, 2007, 1.5905 KBR per HAL. IPO at $17 November 15, 2006. Raised $473.3 million, selling 27.8 million shares, 21% of the outstanding. Lead Manager: CS First Boston. Formerly M.W. Kellogg Company (acquired by Halliburton in 1998 through its merger with Dresser Industries) and Brown & Root (acquired by Halliburton in 1962). December 2003, 6 subsidiaries filed Chapter 11 bankruptcy over asbestos and silica personal injury claims and demands. The order confirming the Chapter 11 plan of reorganization became final December 31, 2004, and the plan of reorganization became effective in January 2005. KBR is the Pentagon's largest private contractor in Iraq, and has faced several investigations for alleged overbilling in Iraq, for links to Iran, where U.S. companies are forbidden from operating, and in Nigeria where its consortium is accused of rigging project bids.
